The incorporation of a legal entity encompasses the process from the decision to establish a legal entity of the chosen legal form to its registration in the Register of Legal Entities.
To register a legal entity – whether a profit-making company (e.g. a private limited company, a small partnership, a sole trader, a commercial partnership) or a non-profit organisation (e.g. an association, a public institution, a charity or support fund, a gardeners’ association or other), you must apply to the State Enterprise ‘Registrų centras’. More detailed information on registration matters can be found on the website of the State Enterprise ‘Registrų centras’.
Once the State Tax Inspectorate (VMI) has received details of the company’s or organisation’s registration with the Centre of Registers, it will register it in the Taxpayers’ Register.
Once the company has been registered, within 5 working days of receiving the registration details, you must submit the required notifications (forms FR0791 and FR0791A) electronically via the ‘Mano VMI’ portal, providing information on the activities carried out, the person responsible for accounting, details of any structural units, etc. Further information can be found here.
